1. Introduction and Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Edunexa ("Edunexa," "we," "us," or "our") governing your access to and use of the Edunexa web-based business management software platform, available at https://edunexa.co.uk, including all associated features, functionality, content, and services (collectively, the "Platform" or "Service").

By purchasing access to the Platform, creating an account, or otherwise accessing or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with any policies referenced within them, including our Privacy Policy and Refund Policy. If you do not agree to these Terms in their entirety, you must not access or use the Platform.

These Terms apply to all users of the Platform, including individual freelancers, consultants, and any employees, contractors, or authorised representatives of a business entity that has purchased access to the Platform. If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity, in which case "you" and "your" will refer to that entity.

Edunexa reserves the right to update, amend, or modify these Terms from time to time in accordance with Section 25 (Changes to These Terms). Your continued use of the Platform following the posting of any changes constitutes acceptance of those changes.

2. Definitions

For the purposes of these Terms, the following definitions apply: "Account" means the unique account created by a Customer to access and use the Platform. "Customer Data" means any information, content, or data that a Customer, or a Customer's authorised users, uploads, enters, submits, or otherwise inputs into the Platform, including but not limited to customer records, lead and sales information, project and task data, employee and HR records, invoices, income and expense records, and any other business information maintained within the Platform. "Package" means the specific tier or bundle of features and usage limits selected and purchased by a Customer, which determines the functionality available to that Customer within the Platform. "Services" means the CRM, project management, HR administration, financial record-keeping, and related functionality made available through the Platform. "Authorised User" means any individual, such as an employee or contractor of the Customer, who is granted access to the Customer's Account by the Customer. "Stripe" means the third-party payment processing provider used to process payments for purchases of access to the Platform.

3. Description of the Platform

Edunexa is web-based business management software designed to bring together essential business administration tools within a single online platform. The Platform is intended for use by small businesses, freelancers, consultants, agencies, and other service-based businesses seeking a practical way to manage customers, projects, employees, and financial records from one dashboard.

The Platform provides four principal categories of functionality: (a) Customer Relationship Management (CRM) — tools for maintaining customer profiles and records, managing leads and sales pipelines, tracking follow-ups, and maintaining customer history; (b) Project Management — tools for creating and managing projects, creating and assigning tasks, recording and monitoring deadlines, and managing team assignments; (c) HR Administration — tools for maintaining employee records, managing leave, organising onboarding, and maintaining employee documents; (d) Financial Record-Keeping — tools for creating invoices, recording income and expenses, monitoring payment status, and generating business reports.

Edunexa provides these tools solely as software functionality for the Customer's own record-keeping and administrative purposes. The scope of functionality available to any given Customer depends on the Package purchased, and Edunexa reserves the right to determine the specific features and usage limits associated with each Package.

4. Eligibility

To create an Account and use the Platform, you must be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater, and you must have the legal capacity to enter into a binding contract. By using the Platform, you represent and warrant that you meet these eligibility requirements.

Edunexa reserves the right to refuse access to the Platform, or to terminate access, to any individual or entity that Edunexa believes, in its sole discretion, does not meet these eligibility requirements or has otherwise violated these Terms.

5. Account Registration and Security

To access the Services, you must create an Account by providing accurate, current, and complete information as prompted during the registration process. You agree to promptly update your Account information to keep it accurate, current, and complete.

You are solely responsible for maintaining the confidentiality of your Account credentials, including your username and password, and for all activities that occur under your Account, whether or not you authorised such activities. You agree to notify Edunexa immediately of any unauthorised use of your Account or any other breach of security.

If you grant access to the Platform to Authorised Users within your organisation, you are responsible for ensuring that such Authorised Users comply with these Terms, and you remain fully responsible for their use of the Platform and any Customer Data they enter, modify, or access. Edunexa is not liable for any loss or damage arising from your failure to comply with the security obligations set out in this Section.

6. Access, Packages, and Licence

6.1 Grant of Licence

Subject to your compliance with these Terms and payment of the applicable fees, Edunexa grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Platform for your own internal business purposes, in accordance with the features and usage limits associated with your purchased Package.

6.2 Packages

Access to the Platform is offered through the Starter (£79), Growth (£99), Team (£129), and Pro (£149) packages, each of which includes a defined set of features and usage limits described in full on the Edunexa pricing page. The specific functionality available to you will depend on the Package you select and purchase at the time of purchase. Edunexa reserves the right to modify the features, usage limits, and composition of Packages from time to time, provided that such changes will not materially reduce the functionality available to you under a Package you have already purchased, except as reasonably necessary for legal, security, or operational reasons.

6.3 Restrictions

You agree not to: (a) copy, modify, distribute, sell, or lease any part of the Platform; (b) reverse engineer, decompile, or attempt to extract the source code of the Platform, except where such restriction is prohibited by applicable law; (c) use the Platform for any unlawful purpose or in violation of any applicable law or regulation; (d) use the Platform to store or transmit any content that is unlawful, defamatory, infringing, or otherwise objectionable; (e) attempt to gain unauthorised access to any part of the Platform, other accounts, or Edunexa's systems or networks; (f) use automated means, including bots, scrapers, or crawlers, to access the Platform without Edunexa's prior written consent; or (g) resell, sublicense, or otherwise make the Platform available to any third party outside of your own organisation's Authorised Users.

7. Fees, Purchases, and Payment Processing

7.1 One-Off Purchase Model

Access to the Platform is provided through a one-off purchase rather than a recurring subscription for platform access. Upon completing a purchase, you will be granted lifetime access to the Platform in accordance with the features and usage limits of the Package you have selected, subject to the applicable Package terms and these Terms and Conditions generally.

7.2 Pricing

The price payable for access to the Platform will be as displayed at the time of purchase for the applicable Package. Edunexa reserves the right to change its pricing for future purchases at any time, but such changes will not affect the price you have already paid for access under a completed purchase.

7.3 Payment Processing

All payments for purchases of access to the Platform are processed securely through Stripe, and, where available, Bacs Direct Debit. By making a purchase, you agree to provide accurate and complete payment information and authorise Edunexa, through Stripe, to charge the applicable fees to your chosen payment method.

Edunexa does not itself store or process your full payment card details; this is handled by Stripe in accordance with Stripe's own terms of service and privacy policy, which you should review separately. Edunexa does not hold or transmit customer funds on behalf of third parties as part of its business management functionality, and the payment processing associated with your purchase of access to the Platform is entirely separate from the financial records you subsequently create and maintain within the Platform using the financial record-keeping functionality described in Section 3(d).

7.4 Taxes

Unless otherwise stated, prices displayed for Packages do not include applicable sales, value-added, or other taxes. You are responsible for paying any such taxes associated with your purchase, except for taxes based on Edunexa's net income.

8. 14-Day Money-Back Guarantee

Eligible purchases of access to the Platform are covered by a 14-day money-back guarantee, subject to the requirements and exclusions set out in this Section and in Edunexa's published Refund Policy.

8.1 Eligibility for Refund

To be eligible for a refund under this guarantee, you must submit a refund request within 14 days of the date of your original purchase. Requests submitted after this period will not be eligible for a refund under this guarantee, except where required by applicable law.

8.2 How to Request a Refund

Refund requests should be submitted through the contact channels specified in Edunexa's published Refund Policy or Section 26 (Contact Information) of these Terms. Requests should include the details of your purchase, including the date of purchase and the Package purchased, to allow Edunexa to verify your eligibility.

8.3 Processing of Refunds

Where a refund request is approved, Edunexa will process the refund to the original payment method used for the purchase, through Stripe, within a reasonable period following approval. Depending on your payment provider, it may take additional time for the refunded amount to appear in your account.

8.4 Exclusions

Edunexa reserves the right to decline a refund request where there is evidence of abuse of the money-back guarantee, including but not limited to repeated purchase-and-refund patterns, or where the request does not otherwise meet the eligibility requirements published in Edunexa's Refund Policy. This 14-day money-back guarantee applies specifically to the purchase of access to the Platform and does not extend to any third-party services, fees, or products purchased separately.

9. Customer Data

9.1 Ownership

As between you and Edunexa, you retain all rights, title, and interest in and to the Customer Data that you or your Authorised Users enter into the Platform. Edunexa does not claim ownership over your Customer Data.

9.2 Licence to Edunexa

You grant Edunexa a limited, non-exclusive licence to access, use, host, store, reproduce, and process your Customer Data solely to the extent necessary to provide, maintain, secure, and improve the Platform and to comply with applicable law.

9.3 Responsibility for Accuracy

All Customer Data is entered, created, and managed by you, or your Authorised Users, for your own business purposes. You are solely responsible for the accuracy, quality, legality, and appropriateness of all Customer Data entered into the Platform, including but not limited to customer information, lead and sales information, project information, employee and HR records, invoices, income and expense records, and any other business data you choose to maintain within the Platform.

You are also solely responsible for determining how you use the information maintained through the Platform, and for ensuring that your use of the Platform, and the business records you maintain, comply with all applicable laws, regulations, and requirements relevant to your business, including but not limited to data protection, employment, tax, and financial reporting obligations. Edunexa does not verify, validate, or assess the accuracy of any Customer Data, and does not provide any professional advice based on Customer Data entered into the Platform.

9.4 Backups

While Edunexa takes reasonable measures to protect and back up Customer Data, you are encouraged to maintain your own independent backups of critical business information wherever practicable. Edunexa is not liable for any loss of Customer Data except to the extent such loss arises directly from Edunexa's gross negligence or wilful misconduct.

10. Nature of the Services and Important Disclaimers

10.1 General

Edunexa is a software provider. The Platform provides online tools for business management and administration. Edunexa does not act as a financial institution, accounting service, payroll provider, employer-of-record service, tax adviser, investment adviser, legal adviser, or any other regulated professional or financial service provider. Nothing on the Platform, or provided by Edunexa in connection with the Platform, constitutes professional advice of any kind, and you should not rely on it as such.

10.2 No Payroll Services

Edunexa's HR administration functionality is limited to providing tools for maintaining employee records, managing leave, organising onboarding, and maintaining employee documents. Edunexa does not process payroll, does not calculate or make payroll payments, and does not act as a payroll provider or employer of record in any capacity. You remain solely responsible for your own employment arrangements, payroll obligations, and compliance with applicable employment laws and regulations.

10.3 No Accounting, Tax, Financial, Investment, or Legal Advice

Edunexa's financial record-keeping functionality is limited to providing tools for creating invoices, recording income and expenses, monitoring payment status, and generating business reports based on information you enter. Edunexa does not provide accounting, tax, financial, investment, or legal advice of any kind, and does not file tax returns on your behalf. You remain solely responsible for determining how your financial records should be maintained, interpreted, reported, or used for your individual circumstances, and for obtaining appropriate professional advice where needed.

10.4 No Regulated Financial Services

Edunexa does not hold or transmit customer funds on behalf of third parties, does not provide investment services, does not manage investments, does not provide financial products, and does not operate as a regulated financial service provider. The financial record-keeping tools within the Platform are provided purely as software tools for your own customer-managed record-keeping and do not constitute the provision of any regulated financial service.

10.5 Reliance

You acknowledge that any reliance you place on information generated, organised, or displayed by the Platform, including business reports, is at your own risk, and that you remain responsible for independently verifying such information and for seeking appropriate professional advice where necessary.

11. Acceptable Use

In using the Platform, you agree that you will not: (a) enter any Customer Data that is unlawful, fraudulent, defamatory, obscene, or that infringes the intellectual property or other rights of any third party; (b) use the Platform to harass, abuse, or harm another person; (c) use the Platform in any manner that could disable, overburden, damage, or impair the Platform or interfere with any other party's use of the Platform; (d) attempt to probe, scan, or test the vulnerability of the Platform or any related system or network; (e) use the Platform to store or process any data in violation of applicable data protection or privacy laws; (f) misrepresent your identity or affiliation with any person or entity in connection with your use of the Platform; (g) use the Platform to engage in, or facilitate, any activity that could reasonably be considered payroll processing, the provision of regulated financial services, or the provision of professional accounting, tax, legal, or investment advice to third parties; or (h) circumvent or attempt to circumvent any usage limits, security measures, or access restrictions associated with your Package.

Edunexa reserves the right, but has no obligation, to monitor use of the Platform for compliance with these Terms and to remove or disable access to any Customer Data that it believes, in its reasonable discretion, violates these Terms or applicable law. Where Edunexa becomes aware of a suspected violation of this Section, it may, at its discretion and without liability to you, suspend or restrict the relevant Account pending investigation, in accordance with Section 15 (Term, Suspension, and Termination).

12. Intellectual Property

The Platform, including its software, design, graphics, interfaces, and all associated intellectual property rights, is owned by Edunexa or its licensors and is protected by applicable intellectual property laws. Except for the limited licence expressly granted to you under Section 6, nothing in these Terms transfers any right, title, or interest in the Platform or Edunexa's intellectual property to you.

Any feedback, suggestions, or ideas you provide to Edunexa regarding the Platform may be used by Edunexa without restriction or obligation to you, and you hereby assign to Edunexa any rights you may have in such feedback to the extent permitted by applicable law.

13. Third-Party Services

The Platform may integrate with or reference certain third-party services, including Stripe for payment processing. Your use of any third-party services is subject to the applicable third party's own terms and policies, and Edunexa is not responsible for the availability, accuracy, or performance of any third-party service. Edunexa does not endorse and is not liable for the content, products, or practices of any third party referenced or integrated in connection with the Platform.

14. Service Availability and Modifications

Edunexa will use commercially reasonable efforts to make the Platform available, but does not guarantee that the Platform will be available on an uninterrupted, error-free, or secure basis. The Platform may be temporarily unavailable for scheduled maintenance, emergency maintenance, or reasons beyond Edunexa's reasonable control.

Edunexa reserves the right to modify, update, suspend, or discontinue any part of the Platform, including specific features or functionality, at any time, with or without notice, provided that Edunexa will use reasonable efforts to notify Customers of any material changes that significantly reduce the functionality of a Package that has already been purchased.

15. Term, Suspension, and Termination

15.1 Term

These Terms remain in effect for as long as you maintain an Account or otherwise access or use the Platform.

15.2 Suspension

Edunexa may suspend your access to the Platform, in whole or in part, if Edunexa reasonably believes that you have violated these Terms, engaged in fraudulent or unlawful activity, or where suspension is necessary to protect the security or integrity of the Platform or other users.

15.3 Termination

You may stop using the Platform at any time. Edunexa may terminate your access to the Platform if you materially breach these Terms and fail to remedy such breach within a reasonable period following notice, or immediately in cases of serious or repeated breaches, fraudulent activity, or as required by applicable law.

15.4 Effect of Termination

Upon termination of your access to the Platform, your right to access and use the Platform will immediately cease. Edunexa may, but is not obligated to, retain your Customer Data for a limited period following termination to allow you to request an export of such data, after which Edunexa may delete such data in accordance with its data retention practices. You are responsible for exporting or backing up any Customer Data you wish to retain prior to termination of your Account.

Termination of these Terms does not entitle you to a refund except as expressly provided under the 14-day money-back guarantee described in Section 8, or as otherwise required by applicable law.

16. Disclaimers of Warranties

To the maximum extent permitted by applicable law, the Platform is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Edunexa does not warrant that the Platform will meet your specific requirements, that it will be uninterrupted, timely, secure, or error-free, that any errors will be corrected, or that the results obtained from the use of the Platform will be accurate or reliable. You acknowledge that the Platform is a tool for organising and maintaining business information entered by you, and that Edunexa does not warrant the accuracy, completeness, or usefulness of any Customer Data or any reports generated from it. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

17. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Edunexa, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your access to or use of, or inability to access or use, the Platform, whether based on contract, tort, strict liability, or any other legal theory, and whether or not Edunexa has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, Edunexa's total aggregate liability arising out of or relating to these Terms or your use of the Platform will not exceed the total amount paid by you to Edunexa for access to the Platform in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, or fraud.

18. Indemnification

You agree to indemnify, defend, and hold harmless Edunexa and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your Customer Data, including any claim that such data infringes the rights of a third party or violates applicable law; (c) your violation of these Terms; (d) your violation of any applicable law or the rights of any third party; or (e) any decisions, actions, or omissions taken by you or your business in reliance on Customer Data, business reports, or other information organised or generated through the Platform.

Edunexa reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with Edunexa's defence of such claim. This indemnification obligation will survive any termination or expiration of these Terms or your Account.

19. Data Protection and Privacy

Edunexa's collection, use, and processing of personal data in connection with the Platform is described in Edunexa's Privacy Policy, which forms part of these Terms by reference. By using the Platform, you acknowledge that you have reviewed the Privacy Policy and consent to the practices described in it.

Where Customer Data entered into the Platform includes personal data relating to your own customers, leads, or employees, you are responsible, as the relevant data controller, for ensuring that your collection and use of such personal data, and your instructions to Edunexa as a data processor or service provider, comply with applicable data protection laws.

20. Governing Law and Dispute Resolution

These Terms will be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles, except where mandatory local consumer protection laws require otherwise.

Any dispute arising out of or relating to these Terms or your use of the Platform will first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within a reasonable period, the parties agree that any such dispute will be submitted to the exclusive jurisdiction of the courts of England and Wales, unless applicable law provides otherwise or the parties agree in writing to an alternative dispute resolution mechanism such as arbitration or mediation.

21. Data Export and Portability

You may request an export of your Customer Data at any time during the term of your access to the Platform, subject to the export capabilities made available within your Package. Where the Platform provides self-service export functionality, you are encouraged to use it periodically to maintain your own independent copies of your business records.

Following any suspension or termination of your Account, Edunexa will, where reasonably practicable and subject to Section 15.4, provide a limited window during which you may request an export of your Customer Data before it is deleted from Edunexa's systems in the ordinary course of its data retention practices. Requests for data export following termination should be directed to Edunexa through the contact details in Section 26 (Contact Information). Edunexa is under no obligation to retain Customer Data indefinitely, and you acknowledge that it is your responsibility to maintain independent backups of information that is critical to your business.

22. Beta and Experimental Features

From time to time, Edunexa may make available features that are identified as beta, preview, early access, or experimental ("Beta Features"). Beta Features are provided for evaluation purposes only, may not be feature-complete, and may be modified, suspended, or discontinued at any time without notice and without liability to you.

Beta Features are provided "as is," without any warranty, and any Customer Data entered into or generated through a Beta Feature should not be relied upon as a business's sole or authoritative record. Edunexa recommends exercising caution before relying on Beta Features for critical business processes, and encourages Customers who use Beta Features to maintain their records through the Platform's standard, generally available functionality as well.

23. Communications

By creating an Account, you consent to receive electronic communications from Edunexa relating to your Account, purchases, and use of the Platform, including administrative notices, updates to these Terms, and information about your purchased Package. You may also receive optional marketing communications from Edunexa, from which you may opt out at any time using the unsubscribe mechanism provided in such communications, without affecting your ability to receive essential Account-related communications.

You agree that any notices, agreements, disclosures, or other communications sent to you electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law.

24. Accessibility and Language

These Terms, and the Platform generally, are made available in the language(s) specified on the Edunexa website. Where these Terms are translated into another language for convenience, the English-language version will prevail in the event of any conflict or inconsistency between versions, to the extent permitted by applicable law.

Edunexa is committed to making the Platform reasonably accessible and welcomes feedback from Customers regarding accessibility, which can be submitted through the contact details in Section 26 (Contact Information).

25. Changes to These Terms

Edunexa may update these Terms from time to time to reflect changes in the Platform, legal or regulatory requirements, or Edunexa's business practices. Where changes are material, Edunexa will use reasonable efforts to notify Customers, such as through the Platform or by email, prior to the changes taking effect.

Your continued access to or use of the Platform after any updated Terms take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Platform and may be entitled to close your Account, subject to Section 15.

27. Miscellaneous

• Entire Agreement: These Terms, together with any documents referenced within them, including the Privacy Policy and any applicable Package terms, constitute the entire agreement between you and Edunexa regarding your use of the Platform and supersede any prior agreements or understandings, whether written or oral, relating to the same subject matter.
• Severability: If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
• No Waiver: Edunexa's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms, or any rights or obligations under them, without Edunexa's prior written consent. Edunexa may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets.
• Force Majeure: Edunexa will not be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, internet or telecommunications failures, or governmental action.
• Relationship of the Parties: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Edunexa. Edunexa's role is limited to that of a software provider offering the Platform for your own business administration purposes.
• Survival: Provisions of these Terms that by their nature should survive termination, including but not limited to Sections 9 (Customer Data), 10 (Nature of the Services and Important Disclaimers), 16 (Disclaimers of Warranties), 17 (Limitation of Liability), 18 (Indemnification), and 20 (Governing Law and Dispute Resolution), will survive any termination of these Terms.
